This End User License Agreement (“Agreement”) is a legally binding agreement between you (“User,” “you,” or “your”) and WSPER, Inc. (“WSPER,” “Company,” “we,” “us,” or “our”) governing your use of the WSPER Panic Button mobile application (the “App”) on Android and iOS devices.
By downloading, installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.
1. License Grant
WSPER grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your internal, personal, or organizational safety purposes, subject to the terms of this Agreement.
2. Description of Services
The WSPER App is designed to receive, display, and transmit alerts and sensor data generated by compatible WSPER hardware devices, which may include panic buttons, wearable devices, environmental sensors, and related safety equipment.
The App may provide:
Panic alert initiation
Device status and health information
Location data (when available)
Notifications to designated contacts or third-party monitoring services
Integration with external platforms (e.g., video, dispatch, or monitoring services)
3. IMPORTANT DISCLAIMER – NOT AN EMERGENCY SERVICE
WSPER IS NOT A 911 SERVICE, LAW ENFORCEMENT AGENCY, OR EMERGENCY RESPONSE PROVIDER.
The App does not replace emergency services.
WSPER does not guarantee that alerts will be received, transmitted, or acted upon.
Response times, if any, are dependent on third-party services, network availability, device functionality, and external conditions beyond WSPER’s control.
Users should always contact local emergency services directly when immediate assistance is required.
4. No Guarantee of Response or Outcome
WSPER makes no representation or warranty that:
Alerts will result in police, fire, medical, or security response
Alerts will be received without delay
Location data will be accurate or available
Devices or cellular networks will function without interruption
Use of the App is at your own risk.
5. User Responsibilities
You are responsible for:
Maintaining active cellular or internet connectivity
Ensuring compatible WSPER hardware is properly installed, powered, and maintained
Keeping contact information, device assignments, and alert settings accurate
Training users on proper operation of the App and devices
6. Third-Party Services
The App may rely on or integrate with third-party services (including but not limited to cellular carriers, monitoring services, dispatch platforms, mapping providers, or analytics tools).
WSPER is not responsible for the availability, performance, or actions of any third-party service.
7. Data & Privacy
Use of the App is subject to WSPER’s Privacy Policy, which describes how data is collected, used, and stored. By using the App, you consent to data processing consistent with that policy.
8. Restrictions
You may not:
Reverse engineer, decompile, or modify the App
Use the App for unlawful purposes
Circumvent security or authentication mechanisms
Resell or sublicense the App without written authorization
9. Disclaimer of Warranties
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.”
WSPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF ALERTS OR DATA
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WSPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF LIFE, PERSONAL INJURY, PROPERTY DAMAGE, OR LOST PROFITS, ARISING FROM OR RELATED TO USE OF THE APP OR SERVICES.
11. Indemnification
You agree to indemnify and hold harmless WSPER from any claims, damages, or losses arising out of your use of the App, devices, or services in violation of this Agreement.
12. Termination
This Agreement remains in effect until terminated. WSPER may terminate or suspend access at any time for violation of this Agreement. Upon termination, you must stop using the App.
13. Governing Law
This Agreement shall be governed by the laws of the State of [Insert State, e.g., Texas], without regard to conflict of law principles.
